End User License Agreement & Terms of Use

These terms govern use of the SGCM website, public submission forms, administrative portal, field-service system, and related integrations.

1. Agreement to these terms

These End User License Agreement and Terms of Use ("Terms") are between you and Santomauro General Contracting, LLC ("SGCM," "we," "us," or "our"). By accessing or using the SGCM website, submitting a form, or using an SGCM employee or administrator account, you agree to these Terms to the extent applicable to your use.

If you do not agree to these Terms, do not use the affected service or feature.

2. Services covered

These Terms cover SGCM's online services, including:

  • public property, rental, contact, Ask Billy, and work-order pages;
  • online rental-application forms and document uploads;
  • authorized employee and administrator field-service functions;
  • work-order scheduling, assignment, documentation, signatures, receipts, and related records; and
  • authorized integrations with third-party services, including QuickBooks Online.

3. Limited right to use the service

SGCM grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose and in accordance with these Terms. No ownership of the website, software, source code, designs, branding, or underlying systems is transferred to you.

Employee and administrator features are restricted to users authorized by SGCM. Access rights may depend on an assigned organization role, team, or job responsibility.

4. Accounts and authorized users

If you receive access to an SGCM employee or administrator account, you must keep your credentials secure, use the account only for authorized SGCM business, and not allow another person to use your credentials. You are responsible for activity performed through your account to the extent permitted by law.

SGCM may suspend or revoke access when a user is no longer authorized, when access is no longer necessary, or when SGCM reasonably believes an account or system is being misused or compromised.

5. Public submissions and work-order requests

Information submitted through public forms must be accurate to the best of your knowledge and reasonably related to the purpose of the form. You may not use public forms to upload malicious files, impersonate another person, interfere with the service, test or bypass security controls without authorization, or submit unlawful, fraudulent, abusive, or unrelated content.

Submission of a work-order or other request does not guarantee a particular response time, service date, scope of work, price, or outcome. SGCM may contact the requester for clarification and may determine that additional inspection, authorization, scheduling, or information is required.

6. Rental applications

Rental applicants are responsible for providing complete and accurate information. Submission of an online application does not guarantee availability, acceptance, tenancy, or approval. SGCM may verify information provided in an application and may request additional documentation where permitted by law.

Any authorization relating to a credit report, background information, certification, or applicant signature is governed by the language presented in the rental application itself and applicable law. These Terms do not expand any authorization beyond what the applicant actually provides in the application.

Sensitive rental-application information should be submitted only through SGCM's designated application process. Do not place Social Security numbers, tax returns, pay stubs, or identification documents in the Ask Billy form or ordinary work-order notes.

7. Field-service records and signatures

Authorized users may create or update operational records such as work-order times, notes, photographs, receipts, technician confirmations, and customer signatures. Users must enter information honestly and may not alter, fabricate, or submit records they are not authorized to create.

Electronic signatures and confirmations submitted through the system are intended to document the associated work-order activity. Their legal effect, where applicable, is determined by the surrounding transaction and applicable law.

8. QuickBooks Online integration

The QuickBooks integration is intended only for SGCM users who are authorized to connect and modify the applicable QuickBooks company. By connecting QuickBooks, an authorized user permits the SGCM application to communicate with QuickBooks through Intuit's APIs for the business functions enabled in the system.

Depending on the selected workflow, the integration may read customer, project, employee, and account data and may create or update records such as customers, employee information, time activities, expenses, and receipt-related information. Users should review the selected QuickBooks customer, project, employee, payment account, and expense category before exporting.

QuickBooks Online is a third-party service provided by Intuit. SGCM does not control Intuit's service availability, functionality, account requirements, or independent terms. QuickBooks access may be revoked or expire, and an administrator may need to reconnect the integration.

9. Your content

You retain any rights you may have in information, photographs, documents, and other content you lawfully submit. You grant SGCM and its service providers permission to host, store, reproduce, transmit, process, and display that content only as reasonably necessary to operate the requested service, conduct SGCM's business, comply with law, and maintain related records.

You must have the right to submit any content you upload to the service.

10. Prohibited use

You may not:

  • access another user's account or restricted information without authorization;
  • attempt to defeat authentication, authorization, rate limits, row-level security, or other safeguards;
  • introduce malware, automated abuse, denial-of-service traffic, or other harmful code or activity;
  • scrape, reverse engineer, or probe the service except where such restriction is prohibited by law;
  • use the service to violate another person's privacy, intellectual-property rights, or other legal rights; or
  • use SGCM's systems for an unlawful or unauthorized purpose.

11. Privacy

SGCM's collection and handling of personal information through the website and related services is described in the Privacy Policy.

12. Intellectual property

Except for content supplied by users or third parties, the website and application, including their software, design, text, graphics, SGCM branding, and other materials, are owned by SGCM or used with permission and are protected by applicable intellectual-property laws.

13. Availability and changes

SGCM may maintain, modify, replace, suspend, or discontinue features as business or technical needs change. We do not guarantee that every feature or third-party integration will be uninterrupted or error-free. Scheduled or unscheduled maintenance and third-party outages may affect availability.

14. Disclaimer of warranties

To the fullest extent permitted by applicable law, the website and software services are provided on an "as is" and "as available" basis. SGCM disclaims warranties that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits warranties or rights that cannot legally be excluded.

15. Limitation of liability

To the fullest extent permitted by applicable law, SGCM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the website or software. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

16. Termination

SGCM may restrict or terminate access to internal systems when authorization ends or when these Terms are materially violated. Provisions that by their nature should survive termination, including provisions concerning ownership, privacy, records, disclaimers, and liability, will survive to the extent applicable.

17. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, except where another law must apply. Any dispute that may lawfully be subject to an agreed venue will be brought in a court of competent jurisdiction serving Jersey City, New Jersey.

18. Changes to these terms

SGCM may update these Terms as the service, integrations, or legal requirements change. The current version will be posted on this page with an updated effective date. Continued use after an update constitutes acceptance only to the extent permitted by applicable law.
